Tonal Four-Week Fast Track May 2024 Giveaway Terms

Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE OF ANY PRODUCT OR SERVICE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

The “Tonal Four-Week Fast Track Spring 2024 Giveaway” (the “Promotion”) is sponsored and administered by Tonal Systems, Inc., 617 Bryant Street, San Francisco, California 94107 (“Sponsor” or “Tonal”). The Promotion is governed by these Official Rules (the “Rules”), which are binding and final on all matters relating to the Promotion, except as expressly stated otherwise. In the event of any conflict between any Promotion details contained in these Rules and Promotion details in advertising or promotional media, the details of the Promotion as set forth in these Rules shall prevail. This Promotion is in no way sponsored, endorsed or administered by, or associated with Meta Platforms, Inc. (“Facebook”) or its subsidiaries and affiliate companies.

1. Promotion Schedule. The Promotion will run from May 2, 2024 through May 21, 2024, during the Tonal Four-Week Fast Track fitness engagement program, with each of three (3) Promotion entry periods open for entry during the periods set forth below (each, an “Entry Period,” and together, the “Promotion Entry Period”).

*Due to timing considerations for winner selection and for attendance at the live studio event on June 3, 2024, only three (3) Entry Periods will be available.

2. Eligibility. Entry to the Promotion is open only to natural persons who are (i) registered Facebook account holders, (ii) registered Tonal account holders, (iii) twenty-one (21) years of age or older, and (iv) legal United States residents. Employees of Tonal, Tonal’s advertising agencies and media companies may participate, but are not eligible to collect prizes. Tonal, in its sole discretion, shall determine the eligibility of participants. The Promotion is subject to all federal, state, and local laws and regulations. Facebook Terms of Service apply. Entering the promotion is contingent upon fulfilling all requirements set forth herein.
   
   By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that (a) you meet the eligibility requirements set forth herein, (b) you are not participating on behalf of any employer or third party; (c) in the event you do not comply with these Official Rules, you will be disqualified and your prize (if any) will be forfeited; and (d) (when applicable) the potential winner and/or final winner must be available to participate in any portion of the Promotion for which participation may be required to be considered eligible. In addition, you agree to accept the decisions of Tonal as final and binding as such decisions relate to the Promotion. The Promotion is subject to all applicable federal, state and local laws. Void where prohibited.
   
3. How to Enter. No purchase is necessary to enter. During the Promotion Entry Period, eligible participants may enter the Promotion by completing a FWFT Entry, described below (an “Eligible Entry”). Participants may submit one (1) Eligible Entry per applicable Entry Period (see the Entry Period chart in Section 1 above) during the Promotion Entry Period. Entries in excess of the maximum number will be disqualified.
   
   (3a) FWFT Entry. Participants must (i) log into their Facebook account; (ii) watch the Tonal Four-Week Fast Track Spring 2024 live event at 4:00 PM PST on each Thursday during the applicable Entry Period to receive an entry code (recorded event with code will be available to the Facebook Official Tonal Community for viewing within 48 hours after the live event); and (iii) complete the proper  Promotion online entry form by the end of the applicable Entry Period with the applicable Entry Period code; the entry form will be made available to the Facebook Official Tonal Community starting at approximately 12:00 PM PST, on the morning following each Four-Week Fast Track Spring 2024 live event. Participants that complete the entry by Tuesday, 11:59 PM PST at the end of each Entry Period will be entered into the Promotion.
   
   (3b) Each FWFT Entry is an “Entry” and each eligible participant who makes an Entry, an “Entrant.” Entrants are limited to one method of Entry.
   
4. Winners Selection & Notification. On or about May 23, 2024, ten (10) potential winners will be chosen at random from all Eligible Entries collectively received by the end of each of the three (3) Entry Periods during the Promotion Entry Period (i.e., May 2, 2024 through May 21, 2024). (Due to timing considerations for potential winner selection and for attendance at the Tonal live studio event on June 3, 2024, only three (3) Entry Periods will be available.) The odds of winning depend on the number of participants and the number of entries submitted, excluding those disqualified. All prizes will be awarded. All potential winners will be notified within three (3) business days of the actual selection date. Any prize not collected/claimed will be forfeited. If the selected potential winner cannot be contacted, is ineligible, fails to claim the prize within 24 hours from the time the prize notification was sent, or fails to timely provide information required for prize fulfillment, the prize may be forfeited and an alternate potential winner will be selected. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT TONAL’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE GIVEAWAY AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
   
5. Prize. LIMIT: ONE (1) PRIZE PER PERSON/HOUSEHOLD. The prize consists of: (i) one (1) admission pass to a live fitness-related presentation event located at Tonal’s production studios in New York City at 4:00 PM EST on June 3, 2024 (requires 3:30 PM EST arrival) (the “Event”), which will feature at least one (1) Tonal fitness coach, with an approximate retail value of US$50.00, and (ii) one (1) Tonal-branded T-shirt, with an approximate retail value of US$15.00, excluding applicable taxes. There are a total of ten (10) prizes. The prize does not include travel, meals, lodging or parking expenses for visiting New York City to attend the event on June 3, 2024. The prize is subject to acceptance of a waiver and release prior to attendance at Tonal’s studio location in New York City. No cash or other prize substitution permitted except at Tonal’s sole and exclusive discretion. Prizes are non-transferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner.
   
6. Tampering and Promotion Disclaimers. Tonal reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion should (as determined by it in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Promotion. In such case, Tonal may select the recipients from all Eligible Entries received prior to and/or after (if appropriate) the action taken by Tonal. Tonal reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Promotion or website or violates these Rules. Tonal has the right, in its sole discretion, to maintain the integrity of the Promotion, to void entries for any reason, including, but not limited to any attempt by an entrant to deliberately damage any web site, or undermine the legitimate operation of the Promotion, or violate any criminal or civil laws, and should such an attempt be made, Tonal reserves the right to seek damages from any such person to the fullest extent permitted by law. Entries that would otherwise be Eligible Entries will be disqualified if the entry is, in Tonal’s reasonable opinion, slanderous, defamatory, harmful, threatening, obscene, sexually explicit, harassing, promotes violence, promotes discrimination (whether based on sex, religion, race, ethnicity, nationality, disability or age), promotes illegal activities (such as gambling), contains profanity, infringes the rights of a third party, is in poor taste, violates Facebook’s Terms of Use or is otherwise objectionable. Tonal will have no liability for a winner’s failure to receive notices due to winners’ spam, junk inbox or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information.
   
   If the Tonal live studio event is postponed, canceled, or for other reasons beyond Sponsor’s control does not occur, Sponsor will not be responsible for awarding any compensation in lieu thereof. Winner may be required to present government-authorized identification prior to being awarded the prize. Sponsor reserves the right to remove or to deny entry to any winner who disrupts the event, or annoys, abuses, threatens or harasses any other person at the event or in any other objectionable behavior. Winner agrees that acceptance of the prize is done so entirely upon their own initiative, risk, and responsibility.
   
7. Releases, Conditions, and Limitations of Liability. By entering the Promotion you agree to release and hold harmless Facebook and Tonal and each of their respective subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors (the “Released Parties”) from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant’s participation in the Promotion and/or entrant’s acceptance, attendance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; and (v) electronic or human error which may occur in the administration of the Promotion or the processing of entries.
   
   BY ACCEPTING THE PRIZE, WINNER ACCEPTS THE INHERENTLY DANGEROUS NATURE AND RISK IN ANY RELATED TRAVEL OR TRANSPORTATION, SUCH RISK INCLUDING PERSONAL INJURY AND/OR DEATH, ACKNOWLEDGES THAT WINNER’S PARTICIPATION IN THE PRIZE EVENT IS VOLUNTARY, ACKNOWLEDGES THAT THERE ARE NATURAL FACTORS AND OCCURRENCES WHICH MAY IMPACT OR AFFECT THE SAFETY OF THE ACTIVITIES WINNER IS PARTICIPATING IN AND WINNER ASSUMES THE RISK OF SUCH FACTORS AND OCCURRENCES AND AGREES THAT THE SPONSOR AND RELEASED PARTIES SHALL NOT BE IN ANY WAY RESPONSIBLE FOR ANY RESULTING INJURY AND/OR DEATH.
   
8. Use of Personal Information and Publicity. By entering the Promotion, entrant acknowledges and agrees that all Entries become the sole and exclusive property of Tonal and will not be acknowledged or returned. Any personal information collected by Tonal will be used for the administration of the Promotion and in accordance with Tonal’s Privacy Policy https://www.tonal.com/privacy/. Furthermore, except where prohibited, by accepting the prize, winner grants Sponsor permission to use their name, character, image, voice, and likeness worldwide, in perpetuity, in any and all media now known or hereinafter invented in any and all marketing and promotional media and/or materials and waives any claims to royalty, right, or remuneration for such use. Each winner’s name may be included in a publicly available winners list.
   
9. Disputes. The Promotion is governed by the laws of the State of California without regard to its conflict of laws provisions as though entered into between residents of the State of California. AS A CONDITION OF PARTICIPATING IN THIS PROMOTION, YOU AGREE THAT ANY AND ALL DISPUTES WHICH CANNOT BE RESOLVED BETWEEN THE PARTIES, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS PROMOTION, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, EXCLUSIVELY BEFORE A COURT LOCATED IN CALIFORNIA HAVING JURISDICTION. FURTHER, IN ANY SUCH DISPUTE, UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OTHER THAN YOUR ACTUAL OUT-OF-POCKET EXPENSES (I.E., COSTS ASSOCIATED WITH ENTERING THE PROMOTION, NOT COSTS RELATED TO ATTENDING THE LIVE EVENT), AND YOU FURTHER WAIVE ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR INCREASED.
